Membership Terms

Emerge Collective Membership Contract

This Agreement is made between Trulife Studios, LLC, doing business as Emerge Collective (hereinafter referred to as "EEC"), located in Commerce City, Colorado, and the Event Professional.

1. INITIATION FEE & PAYMENT: A NONREFUNDABLE $50 initiation/admin fee plus the first month's payment is due when this agreement is initially signed by the Event Professional. EEC accepts Visa, MasterCard, and American Express. The nonrefundable deposit guarantees exclusive reservation of the Event Professional's membership. The Event Professional acknowledges and agrees that the deposit is non-refundable and is intended to offset administration costs to start up your membership.

Membership dues are $45 per month or $540 per year. Payments are automatically deducted from the Event Professional's provided payment method on a recurring monthly or annual basis, as selected. If a payment method fails, EEC will make an additional attempt to process the payment 3 times and notify the Event Professional by email. The Event Professional is responsible for the full amount of $540 plus the initiation fee, regardless of whether they cancel their membership. No partial refunds or prorations will be granted for early membership cancellation. All payments made to EEC are final and non-refundable, even if membership is terminated or revoked by EEC.

2. DISCLAIMER OF GUARANTEES: EEC makes no representations or warranties, express or implied, regarding the likelihood of referrals or bookings generated through membership. Referrals within the group are not required and are provided at the sole discretion of other members.

3 .CONTRACT TERM & TERMINATION: This Agreement is effective for a term of twelve (12) months beginning from the first month billed. Payment may be billed on a monthly or annual basis as selected by the Event Professional. The Agreement will automatically renew for successive twelve (12) month terms unless the Event Professional provides written notice of cancellation at least fifteen (15) days before the renewal date.

  • If the Event Professional wishes to terminate their membership prior to the completion of the twelve (12) month term, they must submit a written notice to EEC. The Event Professional remains responsible for paying the full annual membership amount of $540, regardless of early termination. No refunds, partial or otherwise, will be provided for cancellation before the term ends.
  • EEC reserves the right to terminate this Agreement at any time and for any reason. If EEC terminates the Agreement before the completion of the twelve (12) month term, a prorated refund will be issued based on the remaining months if the membership dues were paid in full at the time of termination.

4. MEMBERSHIP REQUIREMENTS: By executing this Agreement, the Event Professional agrees to the following:

  • Maintain appropriate insurance coverage (if you are an onsite vendor) and comply with all applicable federal, state, local, and international laws, including but not limited to business registration requirements, tax licenses, and regulatory compliance. If located outside the United States, requirements may vary and should be discussed with EEC.

  • Adhere to a commitment of inclusivity and non-discrimination by providing services to all individuals regardless of race, religion, nationality, sexual orientation, gender identity, gender expression, age, disability, or any other protected characteristic under applicable law.

  • Provide clear, legally binding contracts to clients with well-defined expectations, deliverables, and guidelines for the services provided.

  • Abide by high standards of ethics and professionalism, including honesty, integrity, fairness, and respect in all interactions with clients, fellow members, and the public. Members must refrain from engaging in any conduct that could damage the reputation of EEC or its members. Any violation of ethical standards may result in membership termination at the discretion of EEC.

    EEC reserves the right to evaluate membership eligibility based on industry standards, peer reviews, and other pertinent considerations. Membership may be denied or revoked for failure to meet stated requirements or if the applicant is determined to be incompatible with the organization's goals and values. Should membership be denied prior to approval, any monies paid will be refunded.

    Membership approval is contingent upon receipt of the following within 30 days of application:

  • A valid Certificate of Insurance (if required for on-site professionals).

  • A Certificate of Good Standing from the appropriate Secretary of State or a valid

    business license in your state and jurisdiction.


5. PRIVACY & DATA PROTECTION: EEC will use commercially reasonable measures to safeguard your personal information. We do not share, sell, or disclose your personal information to third parties without your express consent unless required by law or necessary for the provision of membership services. EEC may share information with third-party services needed to process payments, manage memberships, or enhance membership experiences. Personal information will be securely stored and protected against unauthorized access.

6. DISPUTE RESOLUTION & GOVERNING LAW: Any disputes arising out of or related to this Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles. The parties agree that any legal action or proceeding relating to this Agreement shall be brought exclusively in the state or federal courts located in Commerce City, Colorado.

Before initiating litigation, the parties agree to attempt to resolve disputes through mediation. If mediation fails, either party may pursue legal remedies.

7. PHOTO & VIDEO RELEASE: By signing this Agreement, the Event Professional grants EEC the irrevocable right and permission to use, publish, and distribute photographs,videos, or other media in which the Event Professional's likeness, business name, or logo may appear. These materials may be used for promotional, marketing, advertising, educational purposes, or other business-related purposes in any medium now known or later developed, without compensation to the Event Professional. The Event Professional waives any right to inspect or approve the final product or any written copy that may be used in connection therewith. EEC agrees not to alter the materials in a way that misrepresents the Event Professional.

8. NON-TRANSFERABILITY OF MEMBERSHIP: Membership in EEC is non- transferable and may not be assigned or delegated to any other individual or entity. However, if the Event Professional is replaced by another individual within the same company, a written request for membership transfer must be submitted to EEC for approval, including proof of employment with the same company. Approval is granted solely at the discretion of EEC.

9. NON-PAYMENT & LIABILITY LIMITATION: Membership payments are automatically deducted on their due date. If payment is not successfully processed, membership privileges are suspended immediately until payment is made. EEC will attempt to notify the Event Professional of a failed payment via email within 24 hours of the payment attempt. If membership dues are not paid within thirty (30) days of the due date, membership will be terminated and may require a $50 reinstatement fee for reactivation. Even if payment fails, the Event Professional remains responsible for the entirety of the contract and its associated financial obligations. EEC shall not be liable for any indirect, incidental, special, or consequential damages arising out of or relating to this Agreement or actions taken by other members or third-party vendors.

10. SEVERABILITY CLAUSE: If any provision of this Agreement is found to be unenforceable or invalid under applicable law, such provision shall be ineffective to the extent of such unenforceability or invalidity, without affecting the remaining provisions of this Agreement.

11. ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements, representations, or understandings, whether written or oral. Any modification or amendment to this Agreement must be made in writing and signed by both parties.

By agreeing to this document, the Event Professional acknowledges and agrees to the terms and conditions outlined in this Agreement.
